Performance Chores

These Terms of Service (these "Terms") are a binding agreement between you and YetiWerks, LLC, a Nebraska limited liability company ("YetiWerks," "we," "us," or "our"), governing your access to and use of Performance Chores and the related websites, applications, and services we operate (collectively, the "Service"). By accessing or using the Service, you accept these Terms. If you do not agree to these Terms, do not use the Service.

1. The Service

Performance Chores provides commercial cleaning, facility maintenance, floor care, day porter, green cleaning, and related services in Lincoln, Nebraska. The Service is provided for the benefit of its subscribing organizations and authorized users. We may modify, suspend, or discontinue any feature of the Service at any time.

2. Accounts; Credential Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. All actions taken, and all content or communications transmitted, through your account are attributable to you until you notify us of unauthorized use as provided below. You agree to (a) provide accurate, current, and complete registration information; (b) keep that information updated; (c) use credentials that are unique to the Service; and (d) notify us immediately at info@performancechores.com upon becoming aware of any suspected or actual unauthorized access to or use of your account. Upon receiving such notice, we may — but are not obligated to — suspend or secure the affected account. We are not liable for any loss or dispute arising from use of your account prior to our receipt of that notice.

3. User Content; Platform as Conduit

The Service enables users and their organizations to create, transmit, and store messages, inquiries, postings, documents, and other content ("User Content"). User Content is created and transmitted at the sole direction of the account from which it originates. YetiWerks does not author, edit, endorse, or verify User Content, acts solely as a passive conduit and hosting provider for it, and is entitled to all protections available to interactive computer service providers under applicable law, including 47 U.S.C. § 230. As between you and YetiWerks, the account holder from whose account User Content is sent bears sole responsibility for that content and its consequences.

4. No Duty to Monitor or Investigate

We have no obligation to monitor, screen, moderate, or verify User Content, or to investigate, adjudicate, or resolve any claim that User Content is unlawful, false, defamatory, or was sent without authorization. We may, in our sole discretion, review, remove, or preserve User Content and may suspend accounts, but the exercise of that discretion in any instance creates no duty to act in any other instance.

5. Disputes Between Users and Third Parties

Any dispute between or among users, or between a user and a community association, board, organization, or other third party — including disputes concerning the content, authorship, or transmission of User Content — is solely between those parties. You release YetiWerks, its members, officers, employees, and agents from all claims, demands, and damages of every kind arising out of or in any way connected with such disputes.

6. Legal Process; Requests for Records

Preservation notices, subpoenas, court orders, and other legal process concerning the Service must be directed to YetiWerks, LLC through its registered agent on file with the Nebraska Secretary of State. Records relating to the Service, to the extent they exist, are produced only in response to valid legal process or as otherwise required by law. We may seek reimbursement of the reasonable costs of identifying, collecting, and producing records in response to third-party legal process to the extent permitted by law. Informal requests for records, logs, or account information belonging to another user will not be fulfilled.

7. Records; Log Retention

Operational records and system logs are retained for limited periods appropriate to the operation of the Service and may be deleted, overwritten, or aggregated in the ordinary course. We make no representation or warranty that any record, log, or item of User Content will be retained for any period or will be available at any future time, and you may not rely on the existence or availability of any such record. Nothing in this section limits our compliance with a valid preservation obligation of which we have received notice.

8. Acceptable Use

You will not use the Service to violate law; to infringe the rights of others; to transmit content you know to be false, deceptive, or defamatory; to impersonate any person; to gain or attempt to gain unauthorized access to any account, system, or data; to probe, scan, or test the vulnerability of the Service; to introduce malicious code; or to interfere with the integrity or performance of the Service. We may suspend or terminate access for violations without notice.

12. Privacy

Our collection and use of information in connection with the Service are described in our Privacy Policy, available at https://performancechores.com/legal/privacy.html, which is incorporated into these Terms by reference.

13. Intellectual Property

The Service, including its software, design, features, and content (exclusive of User Content), is owned by YetiWerks, LLC and its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service as intended. You may not copy, modify, distribute, sell, lease, or reverse engineer any part of the Service except as permitted by law notwithstanding this restriction.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS WILL BE CORRECTED; OR THAT USER CONTENT OR USER-SUBMITTED INFORMATION IS ACCURATE, AUTHENTIC, OR LAWFUL. YOU USE THE SERVICE AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) YETIWERKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR REPUTATION, ARISING FROM OR RELATING TO THE SERVICE OR USER CONTENT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (B) YETIWERKS SHALL NOT BE LIABLE FOR THE CONDUCT, CONTENT, OR COMMUNICATIONS OF ANY USER OR THIRD PARTY, INCLUDING UNAUTHORIZED USE OF ANY ACCOUNT; AND (C) OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS (US $100) OR THE AMOUNTS PAID BY YOU TO YETIWERKS FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE LIMITATIONS IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BARGAIN.

16. Indemnification

You agree to indemnify, defend, and hold harmless YetiWerks, LLC and its members, officers, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to: (a) your use of the Service; (b) User Content created or transmitted through your account; (c) your violation of these Terms; or (d) your violation of any law or of any right of a third party.

17. Suspension; Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for violation of these Terms or protection of the Service, its users, or third parties. Upon termination, your right to use the Service ceases immediately. Sections 3 through 7 and 12 through 21 survive termination.

18. Governing Law; Venue

These Terms are governed by the laws of the State of Nebraska, without regard to conflict of law principles. Except where prohibited by applicable law, the exclusive venue for any action arising from or relating to these Terms or the Service is the state or federal courts located in Douglas County, Nebraska, and you consent to personal jurisdiction there. In any action arising from or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs to the extent permitted by law. Nothing in this section prevents either party from pursuing a qualifying claim in small claims court.

19. Changes to These Terms

We may modify these Terms from time to time. The current version, with its last-updated date, will be posted at https://performancechores.com/legal/terms.html. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

20. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision shall be enforced to the maximum extent permissible. These Terms constitute the entire agreement between you and YetiWerks regarding the Service and supersede prior agreements on that subject, except that an executed written agreement between YetiWerks and your organization controls to the extent of any conflict. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver. Notices to us must be sent to the legal contact identified in Section 6.

Privacy Policy

This Privacy Policy describes how YetiWerks, LLC, a Nebraska limited liability company ("YetiWerks," "we," "us," or "our"), collects, uses, and shares information in connection with Performance Chores and the related websites, applications, and services we operate (the "Service"). By using the Service, you agree to the practices described in this Policy.

1. Information We Collect

Information you provide. Account registration details (such as name, email address, phone number, and mailing address); profile and organization information; service inquiry, quote, scheduling, employment application, customer, and facility records you or your organization submit; messages, inquiries, documents, and other content you create or transmit through the Service; and correspondence you send us.

Information collected automatically. Log and usage data generated in operating the Service, including IP addresses, device and browser characteristics, access times, pages and features used, and actions taken within the Service (including administrative and account-security events). This data is collected for operations, security, and abuse prevention.

Information from your organization. Where the Service is provided through a subscribing organization (such as a community association or employer), that organization may supply information about you (for example, rosters, property or membership records, and contact details) and controls significant aspects of how the Service applies to you.

2. How We Use Information

We use information to provide, maintain, secure, and improve the Service; to authenticate users and protect accounts; to deliver messages and notifications the Service exists to deliver; to process transactions; to respond to support requests; to enforce our Terms of Service and other policies; to comply with legal obligations; and to establish, exercise, or defend legal claims. We do not sell personal information, and we do not use Service data for third-party advertising.

3. How We Share Information

We share information only: (a) with the subscribing organization through which your access is provided, consistent with the Service's function; (b) with other users where the feature you use is designed to share it (for example, a message you send to your board); (c) with service providers that process data on our behalf under contractual confidentiality obligations — currently including Vercel, Resend, Sanity, and Cloudflare; (d) in response to valid legal process or as otherwise required by law, as described in Section 7; (e) to protect the rights, property, or safety of YetiWerks, our users, or the public; and (f) in connection with a merger, acquisition, or sale of assets, in which case this Policy will continue to apply to previously collected information until modified. We do not share personal information with third parties for their own marketing purposes.

6. Data Retention

We retain information for as long as reasonably necessary to provide the Service, comply with legal obligations, resolve disputes, and enforce agreements. Operational logs are retained for limited periods and are routinely deleted or overwritten in the ordinary course of operations. We make no representation that any particular record or log will exist at any future time, and retention periods may change without notice. When an organization's subscription ends, its data is deleted or returned in accordance with the applicable agreement.

7. Legal Process and Preservation

Preservation notices, subpoenas, court orders, and other legal process concerning the Service must be directed to YetiWerks, LLC through its registered agent on file with the Nebraska Secretary of State.

We produce records only in response to valid legal process or as otherwise required by law. We do not fulfill informal requests for another user's records, logs, or account information. Where permitted, we may notify affected users of legal process concerning their information and may seek reimbursement of reasonable compliance costs from the requesting party.

8. Security

We use commercially reasonable administrative, technical, and physical safeguards appropriate to the nature of the data, including encryption in transit, role-based access controls, and credential hashing (we cannot view user passwords). No system is perfectly secure, and we do not warrant the security of any information. You are responsible for safeguarding your credentials and for activity under your account as described in our Terms of Service. If you believe your account has been compromised, notify us immediately at info@performancechores.com.

9. Your Choices and Rights

You may access and update your account information through the Service or by contacting us. You may request deletion of your personal information, subject to records we must retain for legal, security, or operational reasons and to your organization's role as the controller of records it supplied. Depending on your state of residence, you may have additional rights under applicable law, including rights to access, correct, delete, or obtain a copy of your personal information; we honor such requests as required by the law that applies to you. To exercise any right, contact info@performancechores.com. We will verify your identity before acting on a request and will not discriminate against you for exercising your rights. Where we process information at the direction of your organization, we may refer your request to that organization.

10. Children

The Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If you believe a child has provided us personal information, contact us and we will delete it as required by law.

11. Cookies and Analytics

The Service uses cookies and similar technologies strictly necessary for authentication, session management, and security. Where analytics are used, they measure aggregate Service usage and are not used for cross-site advertising or sale of personal information.

12. Changes to This Policy

We may update this Policy from time to time. The current version, with its last-updated date, will be posted at https://performancechores.com/legal/privacy.html. Material changes will be indicated by updating the last-updated date; continued use of the Service after changes become effective constitutes acceptance.
